Terms of Service

By accessing or using Recipéel ("the Platform," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Platform.

These Terms constitute a legally binding agreement between you and Recipéel. We reserve the right to update these Terms at any time. Continued use of the Platform after changes are posted constitutes acceptance of the revised Terms.

Recipéel is an online marketplace that connects food creators with buyers of recipe video content. Creators upload short HD video recipes and set a price between $3 and $9 per recipe. Buyers browse and purchase individual recipes to access the full video and ingredients list.

Creators retain 70% of every sale. Recipéel retains a 30% platform fee to cover payment processing, video hosting, infrastructure, and platform operations. Payouts are processed automatically via Stripe Connect to the creator's connected bank account.

Recipéel is a technology platform and marketplace intermediary. We do not create, endorse, verify, or guarantee the accuracy of any recipe content posted by creators.

3.1 Eligibility

To create a Creator account, you must: (a) be at least 18 years of age; (b) have the legal capacity to enter into a binding contract; (c) provide accurate and complete registration information; and (d) connect a valid Stripe account capable of receiving payouts.

3.2 Content Standards

All recipe content uploaded to Recipéel must:

• Be original work created by you, or content for which you hold the necessary rights and licenses
• Accurately represent the recipe and its ingredients
• Be of reasonable video and audio quality
• Include a complete and honest ingredients list
• Be priced between $3 and $9 as supported by the Platform

3.3 Prohibited Content

The following content is strictly prohibited on Recipéel:

• Nudity, sexually explicit material, or content that is obscene
• Content that belongs to another creator, chef, or rights holder without explicit permission (stolen or plagiarised recipes)
• Misleading, false, or deceptive content — including inaccurate ingredient lists, fabricated health claims, or misrepresented cooking times
• Content that depicts or promotes dangerous, toxic, or potentially harmful food preparation techniques
• Hate speech, discrimination, harassment, or threatening content
• Spam, artificially inflated content, or duplicate uploads intended to game the platform
• Content that violates any applicable law or regulation

Violation of these standards may result in immediate content removal, account suspension, or permanent termination, at our sole discretion.

4.1 Purchase Terms

When you purchase a recipe on Recipéel, you are purchasing a non-exclusive, personal, non-transferable license to view the recipe video and access the ingredients list. Purchased recipes are accessible through your account dashboard for as long as your account remains active.

Purchases are processed immediately. By completing a purchase, you authorise Recipéel to charge the listed price to your payment method via Stripe.

4.2 Refund Policy

All sales on Recipéel are final. Because recipe content is delivered digitally and instantly upon purchase, we do not offer refunds as a general policy.

Exceptions are made exclusively in cases where: (a) the purchased content is demonstrably fraudulent — for example, the video is entirely unrelated to the stated recipe; or (b) the content is a confirmed duplicate of content the buyer already purchased. Refund requests must be submitted within 7 days of purchase by contacting us at the address in Section 12.

Recipéel charges a platform fee of 30% on every completed transaction. This fee is automatically deducted before the remaining 70% is transferred to the creator's Stripe account.

Stripe's standard payment processing fees are included within the platform fee and are not charged separately to creators. Stripe Connect payout fees, currency conversion fees, and any applicable taxes remain the responsibility of the creator as the recipient of funds.

Recipéel reserves the right to modify the platform fee structure with 30 days' notice. Continued use of the Platform after the effective date of a fee change constitutes acceptance.

All payments on Recipéel are processed by Stripe, Inc. By using the Platform, you agree to Stripe's Terms of Service and Privacy Policy in addition to these Terms. Recipéel does not store credit card numbers, bank account details, or any sensitive financial information — all such data is handled exclusively by Stripe.

Creators must connect a Stripe Express account to receive payouts. Recipéel is not responsible for delays, failures, or errors in Stripe's payout system. Any disputes related to payment processing should be directed to Stripe directly.

Recipéel reserves the right to withhold payouts if we have reason to believe that a transaction is fraudulent, disputed, or in violation of these Terms, until the matter is resolved.

Creators retain full ownership and copyright of all recipe content they upload to Recipéel. By uploading content, you grant Recipéel a worldwide, non-exclusive, royalty-free license to host, store, process, display, and deliver your content to buyers who have purchased it, as well as to display preview information (recipe title, description, cuisine type, thumbnail) to prospective buyers.

This license does not grant Recipéel the right to sell, sublicense, or redistribute your content outside of the normal purchase flow without your explicit written consent.

Buyers are granted a limited, personal, non-commercial license to view purchased content. Buyers may not download, reproduce, redistribute, resell, or publicly display purchased recipe videos.

Recipéel respects intellectual property rights and complies with the Digital Millennium Copyright Act (DMCA). If you believe that content on the Platform infringes your copyright, please send a written DMCA takedown notice to our designated agent at the contact address in Section 12, including:

• Your physical or electronic signature
• Identification of the copyrighted work you claim has been infringed
• Identification of the infringing material and its location on the Platform
• Your contact information (address, telephone number, and email address)
• A statement of good faith belief that the use is not authorised by the copyright owner, its agent, or the law
• A statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorised to act on the owner's behalf

We will process valid DMCA notices promptly and remove infringing content. Creators who repeatedly infringe third-party copyrights will have their accounts terminated.

Recipéel reserves the right to suspend or permanently terminate your account at any time, with or without notice, for any violation of these Terms, fraudulent activity, chargebacks, or behaviour that harms the Platform or its users.

Upon termination of a Creator account: (a) your content will be removed from the Platform; (b) buyers who have already purchased your content will retain access to their purchased recipes; (c) any outstanding earnings that have already been transferred to Stripe will remain available for payout subject to Stripe's own terms.

You may terminate your account at any time by contacting us. Account termination does not entitle you to a refund of platform fees already collected.

To the fullest extent permitted by applicable law, Recipéel and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of goodwill, or business interruption, arising out of or in connection with your use of or inability to use the Platform.

Recipéel's total liability for any claim arising under these Terms shall not exceed the greater of (a) the amount you paid to Recipéel in the 12 months preceding the claim, or (b) $50.

The Platform is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Platform will be uninterrupted, error-free, or free of viruses.

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law principles.

Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in Florida, and you hereby consent to personal jurisdiction in those courts.
